Unless otherwise stated, all abbreviations and definitions used herein shall have the same meaning as defined in the Company’s announcement dated 7 September 2023 except where the context otherwise defined herein.

Further to the Company’s announcement made on 7 September 2023, the Board of Directors of the Company wishes to announce that SkyWorld Vietnam had on 8 December 2023, entered into an Amendment of the Conditional Shares Sale and Purchase Agreement with the Vendors and the Project Company to vary and modify the terms in the Conditional Shares Sale and Purchase Agreement dated 7 September 2023, whereupon:-

1. The parties agreed to remove the requirement for the Vendors to provide a valid Bank Guarantee amounting to VND105,000,000,000 to SkyWorld Vietnam.
2. The parties agreed that the deposit of VND105,000,000,000 (equivalent to approximately RM20,370,000) (30% of the Purchase Consideration) to be remitted to the Escrow Account to be maintained by SkyWorld Vietnam in accordance with the terms and conditions of the Escrow Agreement to be entered into between the parties.
3. The parties agreed to extend the period for the fulfilment of the conditions precedent for the first instalment to 6 months from the SPA date instead of 4 months and may be extended for additional 3 months or another period as mutually agreed between the parties.
